How do I create and manage performance-based vesting conditions?

Create performance conditions centrally, use them in Simple vesting or Tranche builder, and evaluate them once to update all connected grants.

Introduction

Performance conditions let you define vesting triggers once and then reuse them across grants, plans, and vesting presets. You manage the condition centrally and evaluate it centrally, so every connected vesting schedule stays aligned.

This is especially important with Tranche builder. In the newer vesting flow, performance conditions are no longer something you only attach as one weighted list at plan or grant level. Instead, you create them on the Performance page and then add them inside the vesting schedule where needed, including at the tranche level.


Where to create performance conditions

Go to Equity Plans > Performance. This is the central place where you create, edit, evaluate, duplicate, delete, publish, and reset performance conditions.

Any draft changes you make here must be published before they go live for connected grants and schedules.


How to create a performance condition

  1. Go to Equity Plans > Performance.

  2. Click Create condition.

  3. Fill in the condition details:

    • Name

    • Type: market, non-market, or event-based

    • Optional start measurement date

    • Optional target evaluation date

    • Whether the target date should be shown to stakeholders

    • Optional condition details for internal context or stakeholder display

  4. Click Create.

  5. Click Publish changes on the Performance page when you are ready to make the condition available in vesting schedules.


Where you can use performance conditions

Once a condition has been created, you can reuse it in multiple places across Ledgy.

Use performance conditions in Simple vesting

  1. Open a grant, plan, or vesting preset.

  2. Open the Vesting section.

  3. Choose Simple vesting.

  4. In the Performance conditions field, select one or more conditions from the central list.

This is the best option when you want one straightforward time-based schedule with optional performance triggers layered on top.

Use performance conditions in Tranche builder

  1. Open a grant, plan, or vesting preset.

  2. Open the Vesting section.

  3. Choose Tranche builder.

  4. Add one or more tranches.

  5. Open a tranche and add performance conditions inside that tranche.

With Tranche builder, you can mix different vesting logic in one schedule:

  • Time-only tranches

  • Time + performance tranches by adding conditions to a period or fixed-date tranche

  • Performance-only tranches by choosing Performance evaluation

Important: In Tranche builder, Immediate vesting tranches cannot carry performance conditions. If you want a tranche to vest only when a condition is evaluated, choose Performance evaluation.

How to evaluate a performance condition

  1. Go to Equity Plans > Performance.

  2. Open the three-dot menu for the condition you want to update.

  3. Click Evaluate.

  4. Choose the status:

    • In progress if the condition is still outstanding

    • Achieved if it has been met

    • Unachieved if it will not be met

  5. If you mark it as Achieved or Unachieved, add the evaluation date and any optional details you want to save or show.

  6. Click Evaluate.

  7. Click Publish changes to apply the updated result to all connected vesting schedules.

Because conditions are managed centrally, you only need to evaluate them once. After publishing, Ledgy updates every connected grant, plan default, or preset that references that condition.


What changed with Tranche builder?

If you are comparing this with older screenshots or older vesting flows, the main change is:

  • You now create and manage conditions centrally under Equity Plans > Performance.

  • In Tranche builder, you attach conditions inside each tranche, not just at one overall grant-level list.

  • A single grant can now contain a mix of time-only, time + performance, and performance-only tranches.

  • If any tranche contains performance conditions, Ledgy may hide the vesting preview because the full schedule cannot always be simulated in advance.


FAQs

Can I reuse the same performance condition across multiple grants?

Yes. That is the main purpose of the central Performance page. One condition can be referenced in multiple grants, plans, or presets.

Can one tranche use more than one performance condition?

Yes. In Tranche builder, you can select one or more performance conditions inside a tranche.

Why do I need to publish after creating or evaluating a condition?

Creating, editing, and evaluating conditions creates draft changes first. Publishing is the step that makes those changes live across connected vesting schedules.

Which access rights are required?

Collaborators who manage equity plans can access the Performance page. Your company setup may also control who can publish changes.
