Introduction
When you're ready to sell shares in your company, Ledgy provides a direct way to create market orders.
A market order is an instruction to sell your shares immediately at the best available price. This guide explains how to navigate the selling process through Ledgy's platform.
Prerequisites
Before you can sell your shares:
Your company must be public with trading enabled.
You must have shares available to sell.
No blackout periods are in place for your company.
You have accepted the terms and conditions when you were first invited to Ledgy.
You have entered your tax information in Settings > Personal details
How to Sell Your Shares
Step 1: Access the Sell Feature
Log into your Ledgy account
Navigate to your dashboard
Find your available shares
Click on "Sell Shares" to begin the process
Alternatively, you can also access this information by selecting Sell shares from the left navigation menu:
Step 2: Specify Your Sale Details
Choose how many shares you want to sell:
Sell all shares
Specify a specific quantity
Review the current share price and estimated proceeds
Understand the fees that will be applied:
Trading fees
Currency conversion fees (if applicable)
Bank transfer fees
Choose between a market order and a limit order
When you sell shares, you can create either:
Market order — Your shares are submitted for sale at the best available market price. The final price may differ from the estimate shown when you submit the order.
Limit order — You set the minimum price per share that you are willing to accept. Your order will only execute at that price or higher.
How to place a limit order
Go to Sell shares from the left navigation menu.
Enter the number of shares you want to sell.
Enter your minimum price in Limit price per share (optional).
If you want the order to expire on a specific date, select Order expiry (optional).
Review the sale summary, read the order disclaimer and select Submit order.
If you do not enter a limit price, Ledgy creates a market order instead.
If you do not select an expiry date, your limit order remains open until it is executed or cancelled, for a maximum of 90 days. If you select an expiry date, it must be an available trading day within the next 90 days.
Important: Setting a limit price does not guarantee that your shares will be sold. If the market does not reach your chosen price before the order expires or is cancelled, the order will not execute.
Limit orders are fill-or-kill. This means your full order is either executed or not executed; it will not be partially filled.
The estimated proceeds and fees shown while you create a limit order are based on your limit price. These figures are indicative, exclude taxes and update after the sale executes.
Monitor or cancel an open limit order
After you submit a limit order, you can check its status and details on the selling card on your dashboard.
While the order remains eligible for cancellation, select Cancel order and confirm your request. Cancellation is not guaranteed: the broker may already be executing the order, or the order may execute before cancellation is confirmed. Check the order status to confirm the outcome.
If a restriction period begins while a market or limit order is open, Ledgy automatically requests cancellation for eligible affected orders. You cannot submit a new sell order during an active restriction period.
Step 3: Add Your Bank Details
Provide your bank account information where you want to receive the proceeds.
Ensure your bank details are accurate to avoid payment delays.
Note that your bank currency and transfer type determine your payment fees (currency conversion and bank transfer fees).
Step 4: Review and Confirm
Review all sale details:
Number of shares to sell
Estimated proceeds
Total fees
Net amount you'll receive
Read and accept the market order disclaimer.
Submit your sell order.
Important Information About Market Orders
Market orders are processed during trading hours.
Orders are typically filled quickly, but timing can vary based on market conditions and liquidity.
You'll receive confirmation on your selling card in your dashboard once your order is fulfilled.
The final sale price may differ from the estimated price shown when placing your order.

Where you can see the status:
Dashboard → Selling card: After placing a sell order, the stakeholder sees a selling card on their main dashboard. This card updates with confirmation once the order is fulfilled.
Dashboard → Requests section: If the sale was part of an exercise or RSU settlement (e.g. "Sell all" or "Sell to cover"), you can find the request status under the Requests section of their dashboard. You can click the info icon to see full transaction details.
