Decreasing a pool's size

Equity pools can change over time as your company develops, and you may need to reduce the number of shares allocated to a pool. Ledgy makes it easy to decrease pool sizes while maintaining an accurate cap table.

How to Decrease a Pool

Step 1: Navigate to Transactions

Go to Ownership > Transactions in the main menu.


Step 2: Create a New Transaction

Click the + Add Transaction button in the top right corner.


Step 3: Select Pool Decrease

Choose Pool Decrease from the transaction type options.


Step 4: Fill in the Details

Enter the following information:

  • Pool: Select which pool you want to decrease

  • Date: Enter the effective date of the decrease

  • Number of shares: Specify how many shares to remove from the pool

  • Optional fields: Add any additional notes or references for your records

Step 5: Choose Decrease Type

You can decrease the pool from:

  • Authorized Capital: Reduces the pool and your company's total authorized share capital

  • Reserved Shares: Reduces only the reserved shares in the pool and returns them to a stakeholder you select. This decreases the pool size without changing your company's total authorized capital.


Step 6: Publish

Click Publish to finalize the transaction. The change will be reflected immediately in your cap table.
