What are liquidity elections?

Liquidity elections are company-organized events where eligible stakeholders can express interest in selling their equity during specific time windows. The process provides transparency and efficient management for both secondary sales and company buybacks.

Before you start

Prerequisites:

  • Eligible equity grants (share issuances and phantom plans only)

  • Note: Option plans are not supported for liquidity elections at the moment

Step-by-step guide

1. Creating a liquidity window

  • Navigate to Equity Events β†’ Liquidity Elections

  • Click "+ Add liquidity election window"

  • Configure window settings:

    • Window name

    • Eligible equity plans

    • Eligible stakeholders

    • Opening and closing dates

    • Estimated price per share

2. Stakeholder participation

Eligible stakeholders can:

  • View available liquidity windows on their dashboard

  • Declare sell interest for specific grants

  • Specify the amount they wish to sell

  • Track the status of their request

3. Managing sell interest requests

As an admin, you can:

  • Review all stakeholder requests in the liquidity elections dashboard

  • Filter and sort requests by stakeholder, grant, amount, or status

  • Use bulk actions to mark multiple requests as completed

  • Export reports for transaction processing and/or record-keeping

Supported equity types

Liquidity elections support:

  • Share issuance plans

  • Phantom plans

FAQs

Why don't I see certain equity plans in the dropdown?
Only share issuance and phantom plans are supported. Option plans are automatically excluded from liquidity elections.

Can stakeholders cancel their sell interest?
Yes, stakeholders can cancel their requests before they are marked as completed by administrators.
